UFIDA Software Standard Technical Support Service


I、        Party B should provide qualified software maintenance and technical support service to Party A, within the limitation of new license scope.


II、        Service Scope:

1、        The Software can not operate normally and proceed data handling due to faults in database or faults in software itself.
2、        Party A’s business operation is seriously disturbed and cannot easily be recovered (temporary) due to faults in software itself.
3、        Party A is available to run continuously under the non-key faults.
4、        All operation problems or mistaken.
5、        The Software re-installation and data recovery due to faults of Party A, faults in computer equipment or faults in networks.

III、        Service Scope will not apply if:

1、        The Software data confusion and loss, unavailability to recover due to faults of Party A, faults in software loss、brigandage and mistaken use, faults in modify without permission, faults in products of any third party, faults in computer equipment or faults in networks, faults in operation error.
2、        Proceeding checking environment of hardware and software.
3、        Conducting relevant technical direction of hardware and software.
4、        Consultation and implementation service.
5、        Party A’s breach of agreement in license scope and limitation.
6、        Party A’ usage of the product of the third party.

IV、        In accordance with Agreement, Party A is entitled to enjoy one-year free charge of maintenance and technical support service, from the date of the signature of the contract. After the first year, Party A should pay for new annual maintenance service fee to Party B on time, which is 20% of standard quotation, meanwhile two parties should reach to new maintenance service contract.

V、        Party B will offer standard service according to Appendix 2.

VI、        Unless otherwise expressly agreed by the parties in this Agreement, Party B does not grant Party A any guarantee of maintenance services, neither expressed nor implied.

VII、        If Party A needs special service beyond the standard, Party A should enter into new agreement with Party B on topic of service period、service scope、service expense.
Or, Party B reserves the rights to halt if finds out beyond the scope in the process of service.
